Netzhome Terms of Use

These Terms of Use ("Terms ") set forth the terms and conditions regarding the usage of a certain service of NETIFY LIMITED ("NETIFY"), under the name of “Netzhome” (the "Service"), which is offered to registered users (each a "Member" or "you").

PLEASE READ THESE TERMS AND THE PRIVACY POLICY OF THE SERVICE (“PRIVACY POLICY”) CAREFULLY BEFORE USING THE SERVICE. BY USING THE SERVICE, YOU ACCEPT AND AGREE TO THE TERMS AND THE PRIVACY POLICY.

In addition, usage of the Service may require usage of other third party services, which have their own terms and conditions for usage.  Please be sure to check, prior to using the Service, the terms and conditions that apply to the usage of such third party services.

The Service is available only to residents of the following countries: Austria, Belgium, Bosnia and Herzegovina, Bulgaria, Croatia, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Kazakhstan, Latvia, Lithuania, Netherlands, Norway, Poland, Portugal, Romania, Russia, Serbia, Slovakia, Slovenia, Spain, Sweden, Switzerland, Turkey, Ukraine, United Kingdom (subject to change) and over the age of 18.

1.  MEMBERSHIP

(1)          The Terms are comprised of: (a) all terms and conditions set forth herein; (b) all operating rules and policies that are published through the Service from time to time; and (c) the Privacy Policy, each of which may be modified by NETIFY from time to time. NETIFY may post a notice through the Service, or broadcast messages through the Service, to inform you of changes to these Terms, the Privacy Policy, the Service, or other matters of importance.  Such posting or broadcast by NETIFY will constitute a notice to you. Any amendment to these Terms shall be effective immediately upon posting of the notice or broadcasting of the message. Your continued use of the Service after such posting of the notice or broadcasting of the message will reaffirm your agreement to be bound and to abide by these Terms, as amended.

(2)          In order to use the Service, you must first establish a user account by providing NETIFY with complete and accurate information requested by NETIFY.  In addition, the Service may be used with the user accounts of services operated by third parties, which services may be separately designated by NETIFY.  Each individual is authorized to have only one (1) membership.  You may not use any other party’s ID when using the Service.

You must promptly notify NETIFY, in a form separately designated by NETIFY, should there be changes to the information you provide to us.  You may not assign your membership to any third party. 

2.  THE SERVICE

(1)          The term “Service” includes any and all functionality made available by NETIFY on or through the application under the name of “Netzhome”. NETIFY may add to, delete from, or modify the Service at its sole discretion. Unless explicitly stated otherwise, any new text, content, file, data, product, services, information, software, software tool or other feature that augments or enhances the current Service will be subject to these Terms.  Special terms related to photo or audiovisual storage and/or usage of other third party services may apply.  By using the Service, you may have access to social network services of third parties designated by NETIFY (“Third Party SNS Services”) and third party content delivered through real simple syndication (“RSS Feeds”).  In addition, you may post, display and share with third party users of Third Party SNS Services, any “Member Content” by uploading such Member Content to the Third Party SNS Services through the server which is used for the Service (“Service Server”).  “Member Content” may include your own images, videos, data, text and/or other materials or those of other parties which you have received a valid right to pursue the actions contemplated in connection with the Service hereunder.  Any Member Content which consists of images and/or videos will be uploaded to the Service Server and will be subject to the conditions set forth in Section 8(2) below.  

(2)          You acknowledge and agree that you are solely liable for the preparation of any equipment and bearing of any costs required in connection with the usage of the Service.

(3)          The Service is not available to corporations or other business entities and is provided only to individuals.

(4)          The Service may run advertisements and promotions of NETIFY, its subsidiaries, affiliates or third parties.

3.  LINKS TO NON-NETIFY SERVICES

Third party websites and services linked to or from the Service, expressly including the Third Party SNS Services and RSS Feeds (“Linked Sites and Services”) are independently owned and maintained by such third parties and are not under the control and/or supervision of NETIFY, including any applicable terms of use or any requirement to pay fees in connection with the usage of such Linked Sites and Services.  Use of Linked Sites and Services shall be subject to the terms and conditions stipulated by the operator of each of the Linked Sites and Services. You agree that you will comply with all such terms and conditions. NETIFY is not responsible for any loss or damage, however caused, in connection with the use of any Linked Sites and Services and your access to any of the Linked Sites and Services shall be solely at your own risk.  Nothing contained in the Service shall be interpreted as a recommendation and/or endorsement by NETIFY of the contents of the Linked Sites and Services and any products and/or services which appear on and/or are provided through such Linked Sites and Services.  Nothing contained herein shall be deemed to constitute a partnership or the like between the operators of the Linked Sites and Services and NETIFY.

4.  MEMBER CONTENT

(1)          You represent and warrant that: (a) you have the right to agree to these Terms; (b) you have the right to post, upload and display the Member Content through the Service; (c) you have the right to grant the licenses granted under these Terms; and (d) the use by NETIFY of the rights you have granted under these Terms will not violate the rights of any third parties, including, without limitation, intellectual property rights of third parties.

(2)          In consideration of the usage rights granted by NETIFY to you regarding the Service hereunder, and the potential benefits related thereto, you grant NETIFY, its parents, subsidiaries, affiliates, successors, licensees and assigns, a non-exclusive, worldwide, perpetual, royalty-free license to (a) store, copy, reproduce, publish and adapt your Member Content for the purpose of sharing, at your election, your Member Content with Third Party SNS Services, and (b) use the information which NETIFY acquires in connection with your usage of the Service for the purpose of improving the Service.

    As between NETIFY and you, you will own your Member Content, and NETIFY and its licensors owns all right, title and interest (including all intellectual property rights) in and to the Service, the technology, information, documents, files, websites or other products developed in connection with the Service from time to time.

(3)          Notwithstanding the Privacy Policy, NETIFY is expressly permitted to disclose Member Content and any other information with respect to a Member which NETIFY has acquired in connection with provision of the Service to a third party:

(i)           to comply with a legal requirement;

(ii)          if a Member agrees to such disclosure to a third party;

(iii)         to enforce the rights of NETIFY under these Terms;

(iv)         in case of disputes in connection with the Service or these Terms; or

(v)          to protect the rights, life, property of NETIFY, a Member or a third party including other Members.

5.  MEMBER’S OBLIGATIONS

(1)          You are responsible for any activity on the Service that occurs under your user ID.

(2)          You shall abide by any terms and conditions applied to the usage of the Linked Sites and Service, expressly including the Third Party SNS Services.

(3)          You agree that NETIFY (i) does not endorse any of the Member Content itself or the views expressed in any such Member Content and (ii) shall not be responsible or liable in any manner for any conduct by any Member or for any Member Content.

(4)          You are solely responsible for the Member Content that you upload, display or share using the Service.  This includes, without limitation, responsibility for the nature, content, subject matter, views you express, display or publish in your Member Content.  You shall defend and indemnify Sony from any and all claims and/or damages which arise in connection with your use of the Service, your Member Content and/or your breach of these Terms.

6.  NON-COMMERCIAL USE  

The Service is intended for personal and non-commercial use only.

7.  OTHER OBLIGATIONS OF MEMBERS

(1)          You agree not to post, upload, display or share with others through any part of the Service, any Member Content that:

(a)          contains materials of others that are protected by copyright, trademark or trade secrets, patents or other intellectual property law, without the express permission of its author or owner, therefore violating such party’s copyrights, moral rights, author's rights, trade secrets, trademark, patent or other intellectual property or other rights;

(b)          contains false or misleading statements of fact or description of the origin of the material or communications;

(d)          contains a virus, may corrupt files or other content that may compromise or harm any third party;

(e)          constitutes a criminal offense, gives rise to civil liability, or violates any applicable laws or regulations, or encourages anyone to break the law; or advocates illegal activity;

(f)          contains or displays any expression of bigotry, racism or hatred, or is ethnically offensive, objectionable or inappropriate;

(g)          is or might be perceived by NETIFY or third parties as defamatory, libelous, disparaging, obscene, pornographic, profane, threatening, abusive, deceptive, offensive, vulgar, ethnically offensive, objectionable or inappropriate, including nudity, adult content, illegal content, content of a sexual nature or unacceptable language;

(h)          interferes with anyone else's use of the Service; or

(i)  contains links to any Member Content that does any of the above.

(2)          You agree not to translate, reverse engineer, reverse compile, disassemble or create derivative works from software programming contained in the Service.

8.  LIMITATIONS OF STORAGE

(1)          You acknowledge and agree that;

(i)           NETIFY may delete your Member Content if NETIFY determines, at its discretion, that the size of Member Content (including other Members') exceeds the storage limitation set by NETIFY for the Service, without notice and without incurring any liability to you;

(ii)          NETIFY may delete your Member Content to the extent necessary for the maintenance of the facility of the Service without notice and without incurring any liability to you; and

(iii)         certain technical processing or reformatting of your Member Content may be required in order to (a) perform indexing functions; (b) conform to connecting network technical requirements; or (c) conform to the limitations of the Service or other similar requirements.

(2)          You further acknowledge and agree that, as a result of NETIFY’s deletion of the Member Content as set forth above or the termination or discontinuance of the Service, certain Member Content which you have uploaded to the Third Party SNS Services through the Service Servers may no longer be accessible from or available to the applicable Third Party SNS Services.  Therefore, if you wish to avoid such non-accessible situation, we advise that you upload the Member Content directly to such Third Party SNS Services and refrain from uploading through the Service.

(3)          You are solely responsible for making a backup copy of the Member Content.  NETIFY is not liable for any damages arising in connection of loss, corruption or change of data you upload through the Service.

9.  INTELLECTUAL PROPERTY RIGHTS

Except for your own Member Content, any and all rights with respect to information, software, contents available through the Service belong to NETIFY or its suppliers/licensors. 

10.  CHANGE OF THE SERVICE

NETIFY may, at its sole discretion, elect to modify, delete, reduce or discontinue the Service itself or any feature or functionality of the Service.  NETIFY shall not be liable to you or any third party for any such change.  The Service is not designed as or intended to be used as a disaster recovery or emergency data storage facility.  You are responsible for creating and maintaining copies of your Member Content as back-ups at your own responsibility and cost, prior to posting or uploading any Member Content.  The availability and amount of online storage of content may be changed by NETIFY from time to time.

11.  SUSPENSION OF THE SERVICE

(1)          NETIFY may temporarily suspend or terminate the Service, without notice, in case of (i) maintenance of the facilities of the Service, (ii) fire, power outage, acts of God which cause the Service to be inoperable and/or (iii) any other events which NETIFY determines suspension of the Service is necessary or desirable.

(2)          In no event shall NETIFY be liable to Member regarding any loss or damages of Member arising out of suspension of the Service.

12.  DISCLAIMER OF WARRANTIES

NETIFY makes no representation or warranty of any kind that:

(a)          the Service will meet your requirements;

(b)          there are no defects in the software of the Service or such defects will be corrected, if any;

(d)          the Service or any content, product or information on the Service is accurate, correct, reliable or complete;

(e)          the Member Content posted, displayed, stored or shared through the Service will not be altered, deleted or damaged, or will be available for access, upload or download at all times or indefinitely;

(f)          any particular result may be obtained from the use of the Service; or

(g)          the Service is free of viruses or other components that may infect, harm or cause damage to computer equipment, data, software or any other property when you access, browse, download from, upload to or otherwise use the Service, or content on the Service.

NETIFY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF ANY PRODUCTS, CONTENT, INFORMATION OR SERVICE PUBLISHED ON OR AVAILABLE THROUGH THE SERVICE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13.  DELETION OF MEMBER CONTENT/COPYRIGHTED MATERIAL

(1)          NETIFY may delete your Member Content without notice and without incurring any liability to you.

(2)          You agree not to use the Service for illegal purposes.

(3)          It is NETIFY's policy to report suspected illegal activities to law enforcement agencies and to cooperate fully with their investigations.  You acknowledge and agree that this policy will be applied in connection with the Service as well.

(4)          Your use of the Service is subject to compliance with all applicable laws, ordinances, rules and regulations, including, without limitation, laws regarding the transmission of technical data.

14.　TERMINATION OF MEMBERSHIP

NETIFY reserves the right, in its sole discretion, to halt and/or terminate all or any portion of the Service temporarily or permanently, to terminate your membership, or to remove your Member Content or to edit, delete or remove any Member Content from the Service without prior notice to you for any reason or no reason.

15.　WARRANTY, DISCLAIMER OF WARRANTY

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, THE SERVICE, INCLUDING ALL CONTENT, PRODUCTS, SERVICES AND INFORMATION MADE AVAILABLE OR ACCESSED THROUGH THE SERVICE, ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND. THE USE OF THE SERVICE IS AT YOUR OWN RISK AND IN YOUR SOLE DISCRETION. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA, OR ANY OTHER DAMAGES THAT RESULT FROM SUCH USE.

16. 　DISCLAIMER OF DAMAGES; LIMITATION OF LIABILITY

Even if NETIFY or any of its authorized representatives or suppliers have been advised of the possibility of such damages, under no circumstances (including, without limitation, their negligence) shall NETIFY, its authorized representatives or suppliers be liable for any direct, indirect, consequential, incidental, special or punitive damages for any claim, loss and/or cause(s) of action, whether in contract, tort (including but not limited to negligence) or otherwise, related to your use of the Service, including, but not limited to:

(a)   the quality, reliability, accuracy or completeness of the Service;

(b)   any modification, alteration, publication, display, failure to store, failure to index, loss, deletion, loss of access or damage of or to your Member Content, computer equipment, software, data or any text, image, video, music, sound or audio file or other materials that results from your use of the Service;

(c)   any harm, errors, omissions, costs, losses or damages arising from the use of or inability to use (whether because of interruption, suspension, termination or otherwise) of the Service, Member Content or any content, products, services or information provided on the Service;

(d)   any failures, delays, misdeliveries or interruptions in the Service;

(e)   any harm resulting from downloading or accessing any Member Content;

(f)   any unauthorized access to or alteration of Member Content or any breach of security related to the Service Server; or

(g)   the cost of procurement of any substitute goods or services.

Some jurisdictions do not allow the exclusion or limitation of consequential or incidental damages, and therefore, the above limitation may not apply to you. Some members may have additional rights.

If, despite the above limitations, NETIFY, its representatives and/or suppliers were found responsible to a Member for any reasons whatsoever, notwithstanding any other provisions contained in these Terms, its total aggregate liability arising out of these Terms and your use of the Service will not exceed one hundred U.S. Dollars (US$100.00).

17.  PRIVACY

It is NETIFY's policy to respect the privacy of all of its customers.  For more information, please see our full Privacy Policy.

18.  INDEMNITY

Since you are solely responsible for your use of the Service and the consequences thereof, you agree to defend, indemnify and hold NETIFY, its parents, subsidiaries, affiliates, officers, employees, licensors, contractors and other users of the Service, harmless from and against any and all claims, demands, losses, expenses and/or liabilities, including attorneys' or experts' fees, made by any third party due to or arising from:

(a)   your use of the Service;

(b)   your violation of the Terms or any applicable terms of use of any Linked Site or Service;

(d)   your violation or infringement of a third party's copyright, trademark, trade secret, patent or other intellectual property right; or

(e)   Member Content.

19.  FORCE MAJEURE

NETIFY is not liable for any delay or failure in performance resulting, directly or indirectly from causes beyond its reasonable control, including, without limitation, failure or interruption of the internet, power failure, failure of computer, telecommunication or other equipment, strikes, labor disputes, riots, insurrections, civil disturbances, shortage of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts, non-performance of third parties.

20.  TERMINATION OF SERVICE

If you object to any portion of these Terms or any subsequent modification thereto, or become dissatisfied with the Service or any transaction entered into through the Service, your only recourse is to immediately discontinue the use of the Service. The preceding sentence sets forth your sole and exclusive remedy regarding any objection to the terms of these Terms, or any dissatisfaction with the Service.

Any termination under any provision of these Terms may be effected without prior notice, and NETIFY may immediately delete and discard all of your Member Content, and/or ban any further access to the Service by you.  Upon any termination of these Terms, your right to use the Service will immediately cease.  NETIFY will have no obligation thereafter to host or provide access to your Member Content, or to forward any materials stored through the Service or any unread or unsent messages.  NETIFY may retain certain materials for administrative and other reasons.

21.  WAIVER OF JURY TRIAL

THE PARTIES HEREBY WAIVE TRIAL BY JURY WITH RESPECT TO ANY DISPUTE RELATING TO THESE TERMS OR THE SERVICE.

22.  GENERAL

These Terms constitute the entire agreement between you and NETIFY with respect to the Service, and it supersedes any other agreement, proposals or communications, written or oral, between you and NETIFY with respect to the Service.

If a court of competent jurisdiction holds that any provision of these Terms is illegal, unenforceable or contrary to law, such provision shall be construed as nearly as possible to reflect the original intent of these Terms, with the other provisions remaining in full force and effect.

Any failure by NETIFY to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such rights or provision unless NETIFY acknowledges and agrees to it in writing.

NETIFY may assign these Terms to any third party at its sole discretion. You shall not assign or sublicense the rights granted under these Terms without the prior written authorization of NETIFY.

You agree that any cause of action arising out of or related to the Service must commence within one (1) year after the cause of action arose or such cause of action is permanently barred.

本「Netzhome使用條款」（以下簡稱為「條款」）係服務註冊使用者（以下簡稱為「會員」或「您」）使用 NETIFY LIMITED（以下簡稱為「NETIFY」）所提供，定名為「Netzhome」之特定服務（以下簡稱為「服務」），必須遵守的條款與條件。

請在使用服務前，務必詳閱本條款及NETIFY 另外提供的應用程式隱私權政策（以下簡稱為「隱私權政策」）。使用本服務，即表示您接受及同意本條款與隱私權政策。

此外，使用本服務時可能需要使用到有自訂規範與規定的第三方服務，請於使用本服務前，確認該第三方服務必須遵守的條款與條件。

本服務對象不僅限於香港居民；且本服務可能無法不提供給未滿18歲者，家長應監控。

1.      會員

(1)     本條款包含：本文件明訂之所有條款與條件，NETIFY或其關係企業不定時透過服務發布的所有操作規則和政策，以及(c)隱私權政策，以上各項得由NETIFY或其關係企業不定時修訂。NETIFY與其關係企業得透過服務張貼公告或透過服務發布訊息，將條款、隱私權政策、服務之異動及／或其他服務相關的重要事項通知您。NETIFY或其關係企業張貼此類公告或發布，即構成本條款規範之通知責任，本條款之任何修訂，應於張貼公告或發布訊息時立即生效。若是您於張貼公告或發布訊息後繼續使用本服務，即代表您重申同意遵守修訂後之條款並受其約束。

(2)     您必須先依據NETIFY之規定提供完整且正確的資訊，以建立使用者帳戶，才能使用本服務，此外，本服務可能會使用NETIFY另外指定之第三方管理的服務使用者帳戶。每一個人僅有權擁有一個(1)服務會員使用者帳戶（簡稱「會員」），請勿利用他人之識別資料使用本服務。

(3)     若是您提供的資訊變更時，請依照NETIFY另外指定之格式立即通知NETIFY。您不得將會員資格轉讓予任何第三方。

2.      服務

(1)     本文件所指之「服務」，包含NETIFY定名為「Netzhome」的應用程式，或透過此應用程式提供的任何及所有功能。NETIFY可自主裁量新增、刪除或修改服務，除另有明示規定外，任何新文字、內容、檔案、資料、產品、服務、資訊、軟體、軟體工具，或其他擴大或加強現行服務的功能，都必須受本條款規範，並視情況適用照片或影音儲存及／或使用其他第三方服務的相關特別條款。使用本服務時，您可能有權使用NETIFY指定的特定第三方社群網路服務（簡稱「第三方SNS服務」），以及透過簡易資訊聚合（簡稱「RSS Feeds」）傳送的第三方內容。此外，您亦可透過本服務使用的伺服器（「服務伺服器」）將張貼、顯示及分享給第三方SNS服務之第三方使用者的任何第三方SNS服務會員內容（「會員內容」），上傳至第三方SNS服務。「會員內容」可能包含您本身的相片、影片、資料、文字及／或您有權用來執行本服務相關行動之他人資料。請務必依以下第8(2)條之規定，上傳任何圖檔及／或影片格式的會員內容至服務伺服器。

(2)     您接受並同意，自行承擔使用服務需要之設備及任何必要之費用。

(3)     本服務僅供個人使用，非供企業或其他商業行號使用。

(4)     本服務得播放NETIFY、其子公司、關係企業或第三方之廣告及宣傳。

3.      連結至NETIFY以外之服務

您茲此接受並同意，與本服務連結的第三方網站和服務，尤其包含第三方SNS服務和RSS資訊聚合（簡稱「連結網站與服務」），係屬該第三方獨立所有及維護，不受NETIFY控管及／或監督，包括任何適用之使用條款，或與使用該連結網站和服務有關的付費規定。在使用該等連結網站和服務時，應遵守各連結網站和服務業者制定之條款與條件，且您同意遵守各連結網站與服務之所有上述條款與條件。因使用任何連結網站與服務而造成，或與其有關之任何損失或損害，NETIFY概不負責，您必須自行承擔使用任何連結網站與服務之風險。本服務之任何內容，皆不得解釋為NETIFY推薦及／或肯定連結網站與服務，以及連結網站與服務顯示及／或提供的任何產品及／或服務，亦不得將本文件之任何內容，視為在連結網站與服務業者及NETIFY之間構成任何合作或類似之關係。

4.      會員內容

(1)     您承諾並保證：您擁有同意本條款之權利，您擁有透過服務張貼、上傳及提出會員內容之權利，(c)您擁有授予本條款賦予許可之權利，以及 (d) NETIFY使用您依本條款授予之權利時，不會牴觸任何第三方之權利，包括但不限於第三方之智慧財產權。

(2)     您於考量NETIFY授予您使用服務之權利以及相關之潛在利益後，特此授予NETIFY、其母公司、子公司、關係企業、繼任者、被授權人與受讓人，非獨家、全球、永久、免權利金之授權，得：依您的選擇，儲存、拷貝、重製、發表及修改您的會員內容以與第三方SNS服務分享，以及(b)使用NETIFY取得與您有關之服務使用資訊改善服務。

(3)     對您與NETIFY而言，您的會員內容係屬您所有，而與服務有關之服務、技術、資訊、文件、檔案、網站，或其他不定時開發之相關產品的所有權利、所有權和權益（包括智慧財產權），均屬NETIFY及其授權商所有。

(4)     儘管已有隱私權政策，在下列情況下，NETIFY特別獲准得將您的會員內容，以及因提供服務而取得與您有關的任何其他資訊揭露予第三方：

(i)遵守法律規定，

(ii)經您同意揭露予第三方，

(iii)行使本條款賦予NETIFY之權利，

(iv)發生與本服務或本條款有關之糾紛，或保障NETIFY、您或第三方，包括其他會員之權利、性命與財產。

5.      會員之責任

(1)     您應自行負責您的使用者代號在服務上發生的任何行動。

(2)     您必須遵守使用連結網站和服務適用的任何條款和條件，尤其包含第三方SNS服務。

(3)     您同意，NETIFY(i)未為任何會員內容或任何會員內容表達之意見背書，以及(ii)對您本身、其他會員之行為或任何會員內容，概不負責。

(4)     您必須對使用本服務上傳、提出或分享的會員內容負完全責任，包括但不限於您在會員內容中表達、提出或發表的性質、內容、主題和看法。您應保護及保障NETIFY，免於因您使用本服務、您的會員內容及／或您違反本條款而遭受任何及所有索賠及／或傷害。

6.      非商業使用 

您接受並同意本服務僅供個人使用，不得做為商業使用。

7.      會員其他責任

(1)     您同意，不透過本服務及任何會員內容之任何部分，張貼、上傳、提出或與他人分享：

(a)     內含受著作權、商標或商業機密、專利或其他智慧財產法規保護的他人資料，且未經著作人或所有人之明確同意，將會違反該當事人之著作權、道德權、作者權、商業機密、商標、專利，或其他智慧財產或其他權利，

(b)     內含與事實或原始資料或通訊之描述不符或誤導之陳述，

(d)     載有可能毀損檔案或其他內容，可能進而危及或傷害任何第三方的病毒，

(e)     構成犯罪、形成民事責任或牴觸任何適用法規或規範，或鼓勵他人犯法或倡導非法活動，

(f)     載有或提出任何偏執、種族歧視、敵意或危害道德、使人反感或不當的言論，

(g)     NETIFY或第三方可能認定為破壞名譽、毀謗、輕蔑、猥褻、色情、褻瀆、威脅、辱罵、詐欺、冒犯、下流、違反道德、使人反感或不當之內容，包括裸露、成人內容、違法內容、色情性質的內容或不入流的語言，

(h)     妨礙他人使用本服務，或

(i)     載有涉及以上內容之任何會員內容的連結。

(2)     您同意，不對本服務內之軟體程式進行轉譯、反向編譯、拆解或創作衍生程式。

8.      儲存限制

(1)     您接受並同意：

(i)     若經NETIFY自主裁量，判定會員內容的容量（包含其他會員）超出NETIFY對本服務設定之限制時，NETIFY得逕行刪除您的會員內容，無需事先知會，亦無需對您負任何責任，

(ii)為了維護服務設備，NETIFY得逕行刪除您的會員內容，無需事先知會，亦無需對您負任何責任，以及

(iii)為(a)執行索引功能，(b)遵守連結網路技術規定，或(c)遵守服務限制或其他類似規定，可能必須針對您的會員內容進行特定技術處理或重製格式。

(2)     您並接受及同意，NETIFY因上述原因刪除會員內容或終止或停用服務之後，您可能無法再從該第三方SNS服務，存取或取得透過本服務伺服器上傳至第三方SNS服務的特定會員內容，因此，若是您不希望發生無法存取之情況，建議您直接將會員內容上傳至該第三方SNS服務，以避免透過本服務上傳。

(3)     您必須自行負責製作會員內容之備份副本。因透過本服務上傳而造成的資料損失、毀損或變更，NETIFY概不負責。

9.      智慧財產權

除了您本身的會員內容外，透過服務提供之資訊、軟體、內容的任何及所有權利，均屬NETIFY或其供應商／授權商所有。

10.     服務異動

NETIFY得自主裁量選擇修改、刪除、刪減或停用服務本身或服務之任何特色或功能，若發生此類變更，NETIFY無需對您或任何第三方負任何責任。本服務之設計或目的，非做為災害復原或緊急資料儲存設備，因此，您在張貼或上傳任何會員內容之前，必須自行建立及維護會員內容之備份副本，並自行承擔相關費用。NETIFY可能會不定時變更線上內容儲存的可用性與容量。

11.     暫停服務

(1)     若發生以下情事，NETIFY得暫時中止或停止服務，無需事先通知：(i) 服務設備維護，(ii)火災、電力中斷、天災造成服務無法運作，及／或(iii)任何其他Sony判定有必要或需要暫停服務之事件。

(2)     NETIFY對會員因暫停服務而蒙受之任何損失或損害，概不負責。

12.     免責聲明

(1)     NETIFY不提供以下承諾或擔保：

(a)服務將符合您的要求，

(b)服務軟體無任何瑕疵，若有瑕疵，將會補正，

(c)服務將為最新、安全、無誤或無中斷，

(d)服務或服務上的任何內容、產品或資訊將正確無誤、可靠或完整，

(e)透過服務張貼、顯示、儲存或分享的會員內容，絕不會更動、刪除或損害，或可隨時或無限期存取、上傳或下載，

(f)使用本服務將能達成特定結果，或

(g)本服務絕無病毒，或在您存取、瀏覽、下載、上傳或使用本服務或服務上之內容時，絕無其他可能對電腦設備、資料、軟體或任何其他財產感染、損害或造成損害之元件。

(2)    NETIFY明確排除任何種類之保證，無論明示或默示，包括但不限於透過本服務發表或提供之任何產品、內容、資訊，或服務之適售性、適合特定用途或無侵權。

(3)     部分司法管轄區不准許排除特定保證，因此您可能不適用上述除外規定。

13.     會員內容／版權資訊之刪除

(1)    NETIFY可刪除您的會員內容，無需事先通知，亦無需對您負任何責任。

(2)     您同意，不為違法用途而使用本服務。

(3)     NETIFY政策規定，必須向執法機關檢舉疑似非法活動，並全力配合調查。您接受並同意，該項政策亦適用於本服務。

(4)     您必須遵守所有適用法規、法令、規定與規範使用本服務，包括但不限於與技術資料傳輸有關之法規。

14.     會員之終止

NETIFY保留權利，得自主裁量依任何理由或無需任何理由，暫時或永久停止及／或終止本服務的所有或任何部分、終止您的會員資格、移除您的會員內容，或從服務編輯、刪除或移除您的會員內容，無需事先知會您。

15.     擔保與免責聲明

在適用法令許可範圍內，本服務均以「現狀」提供，不提供任何類型的保證，包括透過服務提供或可取得之所有內容、產品、軟體、服務和資訊，您必須自行承擔及自行裁量使用服務之風險。您應自行承擔與您的產品、電腦系統或資料有關之損失，或任何因使用而造成的損失。

16.     損害免責聲明、有限責任

儘管NETIFY、其關係企業或任何授權代表或供應商已知可能會有損害，無論在任何情況下（包括但不限於其疏失），NETIFY、其關係企業、其授權代表或供應商皆無需對於您使用本服務而衍生，或有關之任何直接、間接、必然、附帶、特別或懲罰性損害之任何求償、損失及／或訴訟負責，無論是合約、侵權行為（包括但不限於疏失）或其他因素，包括但不限於：

(a)服務之品質、可信度、正確性或完整性，

(b)您的會員內容、電腦設備、軟體、資料或任何文字、圖檔、影像、音樂、聲音或音訊檔，或使用本服務產生之其他資料，遭到修改、變更、發表、顯示、未儲存、未索引、損失、刪除、存取導致之損失或損害，

(c)使用或無法使用本服務、會員內容，或本服務提供之任何內容、產品、服務或資訊，而造成之任何損傷、錯誤、遺漏、成本、損失或損害（無論因中斷、暫停、終止或其他原因而造成），

(d)本服務故障、延誤、誤傳或中斷，

(e)因下載或存取任何會員內容而造成的損害，

(f)未經授權存取或變更會員內容，或破壞服務伺服器的相關安全防護，或

(g)取得任何替代物品或服務之費用。

部分司法管轄區不同意排除與限制間接或附帶損害，因此您可能不完全適用上述限制。部分會員可能另享有其他權利。

儘管有上述限制，若因任何原因認定NETIFY、其關係企業、其代表及／或供應商必須承擔責任時，除本條款另有其他規定外，因本條款及您使用服務衍生之總賠償責任，應以美金一百元(US$100.00)為上限。

17.     隱私權

18.     保障條款

您必須自行負責使用服務及使用之後果，因此，您同意保護、保障與確保NETIFY、其母公司、子公司、關係企業、職員、員工、授權商、承包商以及其他軟體使用者，免於第三方因以下理由主張之任何及所有求償、要求、損失、支出及／或負債之侵害，包括律師或專業人士費用：

(a)您使用服務，

(b)您違反本條款或任何連結網站或服務適用之使用條款，

(c)您違反第三方隱私權，

(d)您違反或侵害第三方著作權、商標、商業機密、專利或其他智慧財產權，或

(e)會員內容。

19.     不可抗力因素

NETIFY及其關係企業無需為超出其合理掌控之因素，直接或間接造成的延誤履約或無法履約負責，包括但不限於網際網路故障或中斷、停電、電腦、電信或其他設備故障、罷工、勞動糾紛、暴動、內亂、人力或原物料短缺、火災、洪水、暴風雨、爆炸、天災、戰亂、政府行動、國內或國外法院之命令、第三方不履約。

20.     服務終止

(1)     若是您不認同本條款之任何部分或後續之任何修訂，或對服務及透過服務從事之交易不滿意，唯一的方式就是立即停止使用本服務。前段敘述即為反對本條款或對本服務表示不滿的唯一方式。

(2)     依本條款任何規定執行之終止，無需事先通知即可生效，且NETIFY得立即刪除及排除您所有的會員內容及／或禁止您繼續使用服務。本條款終止後，您使用本服務的權利應立即終止，之後，NETIFY即無義務接受或允許您存取會員內容，或透過服務轉寄任何已儲存的資料或任何未讀取或未傳送的訊息。惟NETIFY可能會因行政管理或其他理由留存特定資料。

21.     放棄陪審團審判之權利

雙方當事人茲此放棄就任何與條款或服務有關之任何糾紛，主張陪審團審判之權利

22.     一般規定

(3)     本條款構成您與NETIFY雙方對本服務之完全合意，且取代您與NETIFY先前就本服務達成的任何其他書面或口頭協議、提案或溝通。

(4)     若擁有司法管轄權之法院，判定本條款之任何規定違法、不具強制力或觸犯法規時，應盡可能依本條款之原意詮釋該項規定，且其餘規定仍具有完整效力與強制力。

(5)     NETIFY未行使或強制執行任何權利或條款之規定，不構成放棄該等權利或規定，除NETIFY提出書面確認同意書外。

(6)     NETIFY得自主裁量將本條款轉讓予任何第三方。未經NETIFY事先書面授權，您不得轉讓或轉授權本條款賦予之權利。

(7)     您同意，任何因本服務引起的訴訟或與本服務有關的訴訟，均必須在該訴訟因任何理由發生後一(1)年內提出，否則該訴訟將永久禁制。

本「Netzhome使用条款」（以下简称为「条款」）系服务注册使用者（以下简称为「会员」或「您」）使用NETIFY LIMITED（以下简称为「NETIFY」）所提供，定名为「Netzhome」之特定服务（以下简称为「服务」），必须遵守的条款与条件。

请在使用服务前，务必详阅本条款及NETIFY 另外提供的应用程式隐私权政策（以下简称为「隐私权政策」）。使用本服务，即表示您接受及同意本条款与隐私权政策。

此外，使用本服务时可能需要使用到有自订规范与规定的第三方服务，请于使用本服务前，确认该第三方服务必须遵守的条款与条件。

本服务对象不仅限于香港居民；且本服务可能无法不提供给未满18岁者，家长应监控。

1.      会员

(1)     本条款包含：本文件明订之所有条款与条件，NETIFY或其关系企业不定时透过服务发布的所有操作规则和政策，以及(c)隐私权政策，以上各项得由NETIFY或其关系企业不定时修订。 NETIFY与其关系企业得透过服务张贴公告或透过服务发布讯息，将条款、隐私权政策、服务之异动及／或其他服务相关的重要事项通知您。 NETIFY或其关系企业张贴此类公告或发布，即构成本条款规范之通知责任，本条款之任何修订，应于张贴公告或发布讯息时立即生效。若是您于张贴公告或发布讯息后继续使用本服务，即代表您重申同意遵守修订后之条款并受其约束。

(2)     您必须先依据NETIFY之规定提供完整且正确的资讯，以建立使用者帐户，才能使用本服务，此外，本服务可能会使用NETIFY另外指定之第三方管理的服务使用者帐户。每一个人仅有权拥有一个(1)服务会员使用者帐户（简称「会员」），请勿利用他人之识别资料使用本服务。

(3)     若是您提供的资讯变更时，请依照NETIFY另外指定之格式立即通知NETIFY。您不得将会员资格转让予任何第三方。

2.      服务

(1)     本文件所指之「服务」，包含NETIFY定名为「Netzhome」的应用程式，或透过此应用程式提供的任何及所有功能。 NETIFY可自主裁量新增、删除或修改服务，除另有明示规定外，任何新文字、内容、档案、资料、产品、服务、资讯、软体、软体工具，或其他扩大或加强现行服务的功能，都必须受本条款规范，并视情况适用照片或影音储存及／或使用其他第三方服务的相关特别条款。使用本服务时，您可能有权使用NETIFY指定的特定第三方社群网路服务（简称「第三方SNS服务」），以及透过简易资讯聚合（简称「RSS Feeds」）传送的第三方内容。此外，您亦可透过本服务使用的伺服器（「服务伺服器」）将张贴、显示及分享给第三方SNS服务之第三方使用者的任何第三方SNS服务会员内容（「会员内容」），上传至第三方SNS服务。「会员内容」可能包含您本身的相片、影片、资料、文字及／或您有权用来执行本服务相关行动之他人资料。请务必依以下第8(2)条之规定，上传任何图档及／或影片格式的会员内容至服务伺服器。

(2)     您接受并同意，自行承担使用服务需要之设备及任何必要之费用。

(3)     本服务仅供个人使用，非供企业或其他商业行号使用。

(4)     本服务得播放NETIFY、其子公司、关系企业或第三方之广告及宣传。

3.      连结至NETIFY以外之服务

您兹此接受并同意，与本服务连结的第三方网站和服务，尤其包含第三方SNS服务和RSS资讯聚合（简称「连结网站与服务」），系属该第三方独立所有及维护，不受NETIFY控管及／或监督，包括任何适用之使用条款，或与使用该连结网站和服务有关的付费规定。在使用该等连结网站和服务时，应遵守各连结网站和服务业者制定之条款与条件，且您同意遵守各连结网站与服务之所有上述条款与条件。因使用任何连结网站与服务而造成，或与其有关之任何损失或损害，NETIFY概不负责，您必须自行承担使用任何连结网站与服务之风险。本服务之任何内容，皆不得解释为NETIFY推荐及／或肯定连结网站与服务，以及连结网站与服务显示及／或提供的任何产品及／或服务，亦不得将本文件之任何内容，视为在连结网站与服务业者及NETIFY之间构成任何合Ë#20316;或类似之关系。

4.      会员内容

(1)     您承诺并保证：您拥有同意本条款之权利，您拥有透过服务张贴、上传及提出会员内容之权利，(c)您拥有授予本条款赋予许可之权利，以及(d) NETIFY使用您依本条款授予之权利时，不会牴触任何第三方之权利，包括但不限于第三方之智慧财产权。

(2)     您于考量NETIFY授予您使用服务之权利以及相关之潜在利益后，特此授予NETIFY、其母公司、子公司、关系企业、继任者、被授权人与受让人，非独家、全球、永久、免权利金之授权，得：依您的选择，储存、拷贝、重制、发表及修改您的会员内容以与第三方SNS服务分享，以及(b)使用NETIFY取得与您有关之服务使用资讯改善服务。

(3)     对您与NETIFY而言，您的会员内容系属您所有，而与服务有关之服务、技术、资讯、文件、档案、网站，或其他不定时开发之相关产品的所有权利、所有权和权益（包括智慧财产权），均属NETIFY及其授权商所有。

(4)     尽管已有隐私权政策，在下列情况下，NETIFY特别获准得将您的会员内容，以及因提供服务而取得与您有关的任何其他资讯揭露予第三方：

(i)遵守法律规定，

(ii)经您同意揭露予第三方，

(iii)行使本条款赋予NETIFY之权利，

(iv)发生与本服务或本条款有关之纠纷，或保障NETIFY、您或第三方，包括其他会员之权利、性命与财产。

5.      会员之责任

(1)     您应自行负责您的使用者代号在服务上发生的任何行动。

(2)     您必须遵守使用连结网站和服务适用的任何条款和条件，尤其包含第三方SNS服务。

(3)     您同意，NETIFY(i)未为任何会员内容或任何会员内容表达之意见背书，以及(ii)对您本身、其他会员之行为或任何会员内容，概不负责。

(4)     您必须对使用本服务上传、提出或分享的会员内容负完全责任，包括但不限于您在会员内容中表达、提出或发表的性质、内容、主题和看法。您应保护及保障NETIFY，免于因您使用本服务、您的会员内容及／或您违反本条款而遭受任何及所有索赔及／或伤害。

6.      非商业使用 

您接受并同意本服务仅供个人使用，不得做为商业使用。

7.      会员其他责任

(1)     您同意，不透过本服务及任何会员内容之任何部分，张贴、上传、提出或与他人分享：

(a)     内含受著作权、商标或商业机密、专利或其他智慧财产法规保护的他人资料，且未经著作人或所有人之明确同意，将会违反该当事人之著作权、道德权、作者权、商业机密、商标、专利，或其他智慧财产或其他权利，

(b)     内含与事实或原始资料或通讯之描述不符或误导之陈述，

(d)     载有可能毁损档案或其他内容，可能进而危及或伤害任何第三方的病毒，

(e)     构成犯罪、形成民事责任或牴触任何适用法规或规范，或鼓励他人犯法或倡导非法活动，

(f)     载有或提出任何偏执、种族歧视、敌意或危害道德、使人反感或不当的言论，

(g)     NETIFY或第三方可能认定为破坏名誉、毁谤、轻蔑、猥亵、色情、亵渎、威胁、辱骂、诈欺、冒犯、下流、违反道德、使人反感或不当之内容，包括裸露、成人内容、违法内容、色情性质的内容或不入流的语言，

(h)     妨碍他人使用本服务，或

(i)     载有涉及以上内容之任何会员内容的连结。

(2)     您同意，不对本服务内之软体程式进行转译、反向编译、拆解或创作衍生程式。

8.      储存限制

(1)     您接受并同意：

(i)     若经NETIFY自主裁量，判定会员内容的容量（包含其他会员）超出NETIFY对本服务设定之限制时，NETIFY得径行删除您的会员内容，无需事先知会，亦无需对您负任何责任，

(ii)为了维护服务设备，NETIFY得径行删除您的会员内容，无需事先知会，亦无需对您负任何责任，以及

(iii)为(a)执行索引功能，(b)遵守连结网路技术规定，或(c)遵守服务限制或其他类似规定，可能必须针对您的会员内容进行特定技术处理或重制格式。

(2)     您并接受及同意，NETIFY因上述原因删除会员内容或终止或停用服务之后，您可能无法再从该第三方SNS服务，存取或取得透过本服务伺服器上传至第三方SNS服务的特定会员内容，因此，若是您不希望发生无法存取之情况，建议您直接将会员内容上传至该第三方SNS服务，以避免透过本服务上传。

(3)     您必须自行负责制作会员内容之备份副本。因透过本服务上传而造成的资料损失、毁损或变更，NETIFY概不负责。

9.      智慧财产权

除了您本身的会员内容外，透过服务提供之资讯、软体、内容的任何及所有权利，均属NETIFY或其供应商／授权商所有。

10.     服务异动

NETIFY得自主裁量选择修改、删除、删减或停用服务本身或服务之任何特色或功能，若发生此类变更，NETIFY无需对您或任何第三方负任何责任。本服务之设计或目的，非做为灾害复原或紧急资料储存设备，因此，您在张贴或上传任何会员内容之前，必须自行建立及维护会员内容之备份副本，并自行承担相关费用。 NETIFY可能会不定时变更线上内容储存的可用性与容量。

11.     暂停服务

(1)     若发生以下情事，NETIFY得暂时中止或停止服务，无需事先通知：(i) 服务设备维护，(ii)火灾、电力中断、天灾造成服务无法运作，及／或(iii)任何其他Sony判定有必要或需要暂停服务之事件。

(2)     NETIFY对会员因暂停服务而蒙受之任何损失或损害，概不负责。

12.     免责声明

(1)     NETIFY不提供以下承诺或担保：

(a)服务将符合您的要求，

(b)服务软体无任何瑕疵，若有瑕疵，将会补正，

(c)服务将为最新、安全、无误或无中断，

(d)服务或服务上的任何内容、产品或资讯将正确无误、可靠或完整，

(e)透过服务张贴、显示、储存或分享的会员内容，绝不会更动、删除或损害，或可随时或无限期存取、上传或下载，

(f)使用本服务将能达成特定结果，或

(g)本服务绝无病毒，或在您存取、浏览、下载、上传或使用本服务或服务上之内容时，绝无其他可能对电脑设备、资料、软体或任何其他财产感染、损害或造成损害之元件。

(2)    NETIFY明确排除任何种类之保证，无论明示或默示，包括但不限于透过本服务发表或提供之任何产品、内容、资讯，或服务之适售性、适合特定用途或无侵权。

(3)     部分司法管辖区不准许排除特定保证，因此您可能不适用上述除外规定。

13.     会员内容／版权资讯之删除

(1)    NETIFY可删除您的会员内容，无需事先通知，亦无需对您负任何责任。

(2)     您同意，不为违法用途而使用本服务。

(3)     NETIFY政策规定，必须向执法机关检举疑似非法活动，并全力配合调查。您接受并同意，该项政策亦适用于本服务。

(4)     您必须遵守所有适用法规、法令、规定与规范使用本服务，包括但不限于与技术资料传输有关之法规。

14.     会员之终止

NETIFY保留权利，得自主裁量依任何理由或无需任何理由，暂时或永久停止及／或终止本服务的所有或任何部分、终止您的会员资格、移除您的会员内容，或从服务编辑、删除或移除您的会员内容，无需事先知会您。

15.     担保与免责声明

在适用法令许可范围内，本服务均以「现状」提供，不提供任何类型的保证，包括透过服务提供或可取得之所有内容、产品、软体、服务和资讯，您必须自行承担及自行裁量使用服务之风险。您应自行承担与您的产品、电脑系统或资料有关之损失，或任何因使用而造成的损失。

16.     损害免责声明、有限责任

尽管NETIFY、其关系企业或任何授权代表或供应商已知可能会有损害，无论在任何情况下（包括但不限于其疏失），NETIFY、其关系企业、其授权代表或供应商皆无需对于您使用本服务而衍生，或有关之任何直接、间接、必然、附带、特别或惩罚性损害之任何求偿、损失及／或诉讼负责，无论是合约、侵权行为（包括但不限于疏失）或其他因素，包括但不限于：

(a)服务之品质、可信度、正确性或完整性，

(b)您的会员内容、电脑设备、软体、资料或任何文字、图档、影像、音乐、声音或音讯档，或使用本服务产生之其他资料，遭到修改、变更、发表、显示、未储存、未索引、损失、删除、存取导致之损失或损害，

(c)使用或无法使用本服务、会员内容，或本服务提供之任何内容、产品、服务或资讯，而造成之任何损伤、错误、遗漏、成本、损失或损害（无论因中断、暂停、终止或其他原因而造成），

(d)本服务故障、延误、误传或中断，

(e)因下载或存取任何会员内容而造成的损害，

(f)未经授权存取或变更会员内容，或破坏服务伺服器的相关安全防护，或

(g)取得任何替代物品或服务之费用。

部分司法管辖区不同意排除与限制间接或附带损害，因此您可能不完全适用上述限制。部分会员可能另享有其他权利。

尽管有上述限制，若因任何原因认定NETIFY、其关系企业、其代表及／或供应商必须承担责任时，除本条款另有其他规定外，因本条款及您使用服务衍生之总赔偿责任，应以美金一百元(US$100.00)为上限。

18.     保障条款

(a)您使用服务，

(b)您违反本条款或任何连结网站或服务适用之使用条款，

(c)您违反第三方隐私权，

(d)您违反或侵害第三方著作权、商标、商业机密、专利或其他智慧财产权，或

(e)会员内容。

19.     不可抗力因素

NETIFY及其关系企业无需为超出其合理掌控之因素，直接或间接造成的延误履约或无法履约负责，包括但不限于网际网路故障或中断、停电、电脑、电信或其他设备故障、罢工、劳动纠纷、暴动、内乱、人力或原物料短缺、火灾、洪水、暴风雨、爆炸、天灾、战乱、政府行动、国内或国外法院之命令、第三方不履约。

20.     服务终止

(1)     若是您不认同本条款之任何部分或后续之任何修订，或对服务及透过服务从事之交易不满意，唯一的方式就是立即停止使用本服务。前段叙述即为反对本条款或对本服务表示不满的唯一方式。

(2)     依本条款任何规定执行之终止，无需事先通知即可生效，且NETIFY得立即删除及排除您所有的会员内容及／或禁止您继续使用服务。本条款终止后，您使用本服务的权利应立即终止，之后，NETIFY即无义务接受或允许您存取会员内容，或透过服务转寄任何已储存的资料或任何未读取或未传送的讯息。惟NETIFY可能会因行政管理或其他理由留存特定资料。

21.     放弃陪审团审判之权利

22.     一般规定

(3)     本条款构成您与NETIFY双方对本服务之完全合意，且取代您与NETIFY先前就本服务达成的任何其他书面或口头协议、提案或沟通。

(4)     若拥有司法管辖权之法院，判定本条款之任何规定违法、不具强制力或触犯法规时，应尽可能依本条款之原意诠释该项规定，且其余规定仍具有完整效力与强制力。

(5)     NETIFY未行使或强制执行任何权利或条款之规定，不构成放弃该等权利或规定，除NETIFY提出书面确认同意书外。

(6)     NETIFY得自主裁量将本条款转让予任何第三方。未经NETIFY事先书面授权，您不得转让或转授权本条款赋予之权利。

(7)     您同意，任何因本服务引起的诉讼或与本服务有关的诉讼，均必须在该诉讼因任何理由发生后一(1)年内提出，否则该诉讼将永久禁制。
